מתן העדפה למוכר בעסקאות מכר, בהתייחס לתוכן המוצר או השירות הנמכרים. בארצות הברית העיקרון נפסק בפרשת Laidlaw v. Organ, 15 U.S. (2 Wheat.) 178 (1817), שם נפסק כי "כשם שלא נאסר על מוכר למכור במחיר נוכחי מבלי לגלות לרוכש כי קיימות נסיבות הצפויות להפיל את שוויו, כך גם לא נאסר על הקונה להסתיר מהמוכר נסיבות הצפויות להעלות את שוויו."

A preference granted to a seller in a commercial contract, as to the true value of the content or the service sold. The principle was first rooted in American case law of Laidlaw v. Organ, 15 U.S. (2 Wheat.) 178 (1817) when it was ruled that “It is no more forbidden to sell at the current price, without disclosing the circumstances which may cause it to fall, than it is to buy without communicating those which may cause it to rise.”
